Terms & Conditions — Circle

These Terms & Conditions (“Terms”) govern your access to and use of the Circle mobile and web applications and related services (collectively, the “App”), operated by CircleHub (“Circle,” “we,” “us,” or “our”). By creating an account or using the App, you agree to these Terms. If you do not agree, please do not use the App.
Our Privacy Policy explains how we collect and use your data and is incorporated into these Terms by reference.

1) Eligibility
You must be at least 13 years old to use Circle. If you are under 18 (or the age of majority in your jurisdiction), you may only use Circle with the involvement of a parent or legal guardian and their agreement to these Terms on your behalf where required by local law.
By using the App, you confirm that the information you provide is accurate and that you have the legal capacity to enter into these Terms.
2) Your Account
- You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
- You must notify us promptly at hello@circlehub.io if you suspect unauthorized use of your account.
- You may not create an account on behalf of someone else without authorization, or misrepresent your identity or affiliation with any person or entity.
- We may suspend or terminate your account as described in Section 10.
3) What Circle Is (and Isn’t)
Circle is a platform that helps people discover, create, and join circles, events, and communities, and helps organizers manage those circles/events, including collecting payments where applicable.
Circle is a facilitator, not an organizer. Unless we are explicitly identified as the organizer of a specific circle/event, Circle:
- Does not create, run, host, or control the circles/events/communities listed on the App;
- Does not verify the identity, intentions, qualifications, or trustworthiness of organizers or attendees beyond the account and, where applicable, payout verification described in our Privacy Policy;
- Does not guarantee the accuracy, safety, quality, legality, or outcome of any circle, event, or community listed on the App.
You are responsible for exercising your own judgment when deciding whether to join, attend, or pay for any circle or event, and when interacting with other users.
4) User Conduct
You agree not to:
- Use the App for any unlawful purpose, or to harass, threaten, defraud, or endanger others;
- Post false, misleading, or fraudulent circle/event listings;
- Impersonate any person or entity, or misrepresent your affiliation with one;
- Upload content that infringes intellectual property rights, contains hate speech, sexually exploits or endangers minors, or otherwise violates applicable law or our content policies;
- Attempt to circumvent Circle’s payment system for a paid circle/event (e.g., arranging off-platform payment to avoid fees);
- Interfere with or disrupt the App’s operation, security, or integrity (e.g., scraping, reverse engineering, introducing malware).
Circle reserves the right to remove content, restrict features, or take enforcement action described in Section 10 for violations of this Section.
5) Organizers & Paid Circles/Events
If you create a paid circle, event, or community (“Paid Listing”) as an organizer, the following additional terms apply:
- Accuracy. You are solely responsible for the accuracy of your Paid Listing (description, pricing, capacity, date/time, location, and any promises made to attendees), and for delivering what you describe.
- Compliance. You are responsible for obtaining any permits, licenses, insurance, or consents required to legally run your circle/event, and for complying with applicable consumer protection, tax, and other laws in your jurisdiction.
- Payment onboarding. To receive payouts from a Paid Listing, you must complete identity/business verification (KYC) through our payment gateway, Paymob, as described in our Privacy Policy. Payouts may be delayed or withheld if verification is incomplete or flagged.
- Circle’s commission. Circle deducts a service commission from each transaction on a Paid Listing before payout, disclosed to you at the time you set up the Paid Listing.
- Your relationship with attendees. As between you and attendees, you are the seller/service provider of record. You are responsible for handling attendee questions, complaints, and refund/cancellation requests relating to your circle/event, consistent with Section 6 below.
6) Payments, Refunds & Cancellations
- Payment processing. All payments for Paid Listings are processed through Paymob. By making a payment, you also agree to Paymob’s applicable terms.
- Circle does not guarantee refunds. Refunds and cancellations for a Paid Listing are governed by the individual organizer’s stated refund policy for that circle/event, and/or Paymob’s applicable dispute process. Circle is not obligated to issue a refund on an organizer’s behalf.
- Account/listing enforcement is separate from refunds. If Circle suspends, restricts, or closes an organizer’s account or a specific listing (for example, due to suspected fraud or a Terms violation), this action alone does not create an obligation for Circle to refund attendees who purchased that listing. Affected users should pursue refunds directly with the organizer or through Paymob’s dispute process where applicable.
- Disputed or fraudulent listings. If you believe a Paid Listing is fraudulent or misrepresented, report it to hello@circlehub.io. We may investigate and take action under Section 10, but any investigation does not guarantee a specific outcome or refund.
7) Intellectual Property
- Our content. The App, including its design, logos, and underlying software, is owned by CircleHub and protected by intellectual property laws. You may not copy, modify, or distribute it without our permission.
- Your content. You retain ownership of content you post (photos, event descriptions, messages, etc.). By posting content, you grant Circle a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content as necessary to operate and promote the App.
- Reporting infringement. If you believe content on Circle infringes your rights, contact us at hello@circlehub.io with details.
8) Third-Party Services
The App integrates with third-party services, including Paymob (payments), SSO providers (Apple/Google/Facebook), and others described in our Privacy Policy. Your use of those services is also subject to their own terms and privacy policies. Circle is not responsible for the acts or omissions of these third parties.
9) Disclaimers
To the maximum extent permitted by applicable law:
- The App is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Circle does not warrant that the App will be uninterrupted, error-free, or secure, or that any circle/event/organizer listed on the App will meet your expectations.
- Any reliance you place on content, listings, or other users’ conduct is at your own risk.
Nothing in this Section limits any rights you may have under mandatory consumer protection law that cannot be excluded by agreement.
10) Suspension & Termination
We may suspend, restrict, or terminate your account or a specific listing, at our discretion and with or without prior notice, if we believe you have violated these Terms, engaged in fraud or misrepresentation, or created risk or legal exposure for Circle or other users.
You may stop using the App and delete your account at any time via Settings ▸ Account ▸ Delete Account, as described in our Privacy Policy.
Termination does not entitle you to a refund of any fees or commissions already paid, except as required by applicable law or as set out in an organizer’s own refund policy.
11) Limitation of Liability
To the maximum extent permitted by applicable law:
- Circle, its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the App, any circle/event/organizer you interact with, or any Paid Listing.
- Circle’s total liability to you for any claim arising out of or relating to these Terms or the App will not exceed the greater of (a) the amount of fees paid by you to Circle (not the organizer) in the 6 months preceding the claim, or (b) EGP 500.
- This limitation does not apply to liability that cannot be limited or excluded under applicable law (e.g., liability for gross negligence, willful misconduct, or fraud by Circle itself).
12) Indemnification
You agree to indemnify and hold Circle harmless from claims, damages, and expenses (including reasonable legal fees) arising from your violation of these Terms, your content, or your conduct in connection with a circle/event, to the extent permitted by applicable law.
13) Governing Law & Dispute Resolution
These Terms are governed by the laws of the Arab Republic of Egypt, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the App will first be attempted to be resolved informally by contacting hello@circlehub.io; unresolved disputes will be subject to the jurisdiction of the competent courts of Cairo, Egypt, unless otherwise required by applicable law.
14) Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you via in-app notice, email (if available), and update the “Last Updated” date above. Continued use of the App after changes take effect constitutes acceptance of the updated Terms.
